Profile

Rob Maloney counsels clients on matters related to estate and gift planning; estate and trust administration; charitable giving; business succession planning; corporate governance; mergers and acquisitions; and general counsel services. 

Rob works closely with individuals, business owners, trustees, personal representatives, and other fiduciaries to achieve their personal and business objectives. Rob’s clients are diverse in complexity from young couples with few assets who need basic planning, to those with significant assets with wealth transfer considerations requiring more complex planning. He advises clients on a full range of estate planning matters, including the preparation of wills, various types of trusts, health care directives, powers of attorney, and related estate-planning documents.  Rob’s unique experience working in a public accounting firm—where he specialized in tax issues related to trusts, estates, gifts, and generation-skipping transfers—allows him to help clients understand and navigate the tax laws in order to implement tax-efficient plans that meet their goals.

Rob also works closely with family-owned business owners to develop business succession plans that address ownership, control, management, family dynamics, employment and retention of key employees, and taxes related to their businesses.  He counsels clients on other issues related to their business such as organizational and corporate governance matters as well as the merger, acquisition, or sale of their business.

Ultimately, Rob believes clients are looking for a problem-solver to help them find solutions to their unique situation, not simply an accurate assessment of legal and tax issues. That is why Rob aims to become every client’s “go-to” lawyer. He listens and cares about clients in a way that allows him to see the business, personal, legal, and tax issues from their point of view so that he can think strategically and creatively about how to help clients achieve their goals.   

Representative Experience
  • Represented individual client in the preparation of their will, revocable trust, irrevocable trust, and supplemental needs trust. 

  • Represented individual client in the administration of a probate estate involving various types of assets, including real estate, business interests, and securities and bank accounts.

  • Represented service, retail, employment, and real estate businesses in the formation and governance structure of their businesses.  

  • Represented an owner of a national retail business in the organization, reorganization and recapitalization of the business and other related businesses.

  • Represented client in the organization and reorganization of their real estate and farm businesses and coordinated the corporate business documents with their estate planning documents.

  • Represented a client in its purchase of a local service business.

  • Assisted in the representation of a national service business in the recapitalization and reorganization of the business.

  • Assisted with the recapitalization and corporate organizational matter of an international software company and Minnesota-based machinery manufacturer.

  • Assisted with the representation of a client in the sale of its dermatology practice.
