Tony Barthel solves business problems. Whether it’s a deal that needs to be closed or a land use problem that needs to be fixed, Tony works with his clients through every stage of a deal, protecting their interests and advancing their objectives. As the chair of the Firm’s Corporate Group and the Real Estate Group, Tony leads a talented team of attorneys and advisors in a variety of transactions, and he serves as outside general counsel for a number of lower- and middle-market businesses and commercial real estate operations.

 

As a real estate attorney, Tony focuses his practice on representing clients in the purchase, sale, financing and leasing of commercial properties, and he also assists in solving land use, environmental and property development project issues.

 

As a corporate attorney, Tony advises on a wide range of business matters, including entity formation, mergers and acquisitions, contracts, corporate governance, and buy-side and sell-side agreements. He helps clients navigate complex business transactions and overcome practical and legal hurdles, providing advice that helps his clients navigate relationships and drive strategic initiatives.

 

Outside of his practice, Tony is involved in philanthropic activities that provide and advocate for the most vulnerable and keeping and restoring wild places.

Representative Experience
  • Counseled CEO in sale of company and compensation package, including the sale of personal goodwill resulting in a total package in excess of $15 million to CEO.

  • Represented real estate developer in acquisition, plat, re-development and leasing of retail shopping center.

  • Represented municipal infrastructure services company in the sale of business with total consideration exceeding $4 million, and related tax strategies in sale of C Corporation assets.

  • Represented advertising technology company with the negotiation and sale of business valued over $22 million, with attending owner tax strategies in sale of C Corporation assets.

  • Negotiated, drafted and closed purchase of 72-unit residential apartment complex.

  • Managed leasing arrangements and relationship for client with multiple shopping centers.

  • Represented landlord in negotiating ground lease for use with national restaurant chain.

  • Represented client in negotiating, drafting and sale of redevelopment property in partnership with in partnership with Economic Development District.

  • Counseled executive in exit from family business and related ownership of industry standard technology developed by executive.

  • Drafted Operating and Easement Agreement for retail, office and multi-family development in Eagan, Minnesota and handled related real estate sales, leases and ground leases with national tenants.

  • Represented strategic buyer in negotiation and acquisition of specialty grains business in California with purchase price in excess of $3.5 million

  • Represented client in acquisition of medical laboratory equipment refurbishing business for a turnaround and resale of business and real estate.

  • Developed strategy and counseled client through equity acquisition of manufacturing business and related real estate where manufacturer was an LLC tax as an S-Corporation using a 338(h)(10) election.

  • Developed asset protection strategy for multi-unit residential landlord with holdings in excess of $15 million.

  • Assisted in drafting and due diligence response process in sale of livestock vaccine business in excess of $55 million.

  • Represented client in negotiation and acquisition of dairy-related facilities in California, Utah and South Dakota for business handling more than $1 billion in annual sales.

  • Managed capital raise of $3.3 million and ownership structure for business involved in the acquisition of home security monitoring contracts and financing business.

  • Represented family trust in the acquisition of commercial, industrial, and office/retail real estate with values in excess of $20 million.

  • Provided counsel and legal documents for integration of new ownership with current management of specialty beverages service business in process of $3.2 million acquisition.

  • Represented client in acquisition of campground properties.

  • Served as corporate counsel and handled shareholder relations through restructuring and buyout of ownership of power sports dealership with three locations in Northern Minnesota.
