Messerli Kramer has a long history with entrepreneurs and their investors, beginning at home. With attorneys experienced in starting their own technology-based ventures, we understand the grit, determination and fortitude it takes to move an idea from conception to reality because many of us have done it. We use our real-world experience when advising our clients on navigating the many challenges to successfully bring new technologies to market, create new jobs, and generate wealth for all stakeholders along the way.

Our clients build companies across a wide range of industries and disciplines including medical devices; healthcare and biotechnology; data storage and cybersecurity; food, beverage and agricultural sciences; and software-as-a-service (SaaS).

Our emerging company attorneys begin our work with clients by learning about their business. From company formation to exit strategies, we invest our time to fully understand the goals of every client and ensure that we provide appropriate counsel at every stage of the company’s lifecycle. We know the success of a young company requires a great business plan, a dedicated team of talented individuals, and advisors who can position them for the best chance of achieving their goals.

We understand one of the toughest jobs for a startup CEO is raising the money necessary to fund development, launch and grow a new business. Our attorneys have decades of experience in guiding young companies through the various stages of raising capital. We are conversant and experienced in the latest strategies for early-stage fundraising, including national and state-based equity crowdfunding, convertible notes and SAFE instruments, and EB-5 financings.

We know and represent investors. In 2011, our firm founded AngelPolleNation, a networking organization supporting angel investment in startup companies. This work has enabled us to develop strong ties to the angel and venture investing communities. We use our connections in these communities to introduce our clients to qualified investors.
