Georgia Kellogg is an attorney in Messerli Kramer’s Corporate Group, where she works primarily on mergers and acquisitions, entity formation, business succession planning, corporate governance, and technology and data privacy law. She is also a member of the firm’s Commercial Real Estate group, where she focuses on medium- and large-sized transactions.

Georgia has represented entities of varying sizes, ranging from closely-held businesses to mid-sized private companies, across an array of industries, from software and professional services to manufacturing and trucking, and has guided clients on both the buy-side and sell-side from the inception of the deal to its closing.

Pairing her legal practice in the lower- to middle-market transactional space with a background in accounting, Georgia understands both the legal and financial implications of a transaction and utilizes this skillset to effectively counsel clients on potential drawbacks of a particular deal structure and present pragmatic solutions to resolving issues.

Representative Experience
  • Assisted sellers of a software company in a $150 million dollar sale to a major US credit reporting bureau, which included assuming primary responsibility for preparation and submission of the requisite filing under the Hart-Scott-Rodino Act.

  • Represented individuals in the acquisition of a local truck upfitting business.

  • Assisted seller of a Texas-based utility service company in the sale to a private-equity firm.

  • Oversaw and managed all aspects of due diligence for a large Minnesota-based trucking and logistics corporation as part of a proposed acquisition of another trucking company and its subsidiaries.
