Katie Gettman brings legal counsel and business guidance to corporations, executives and business owners. Unlike most attorneys, she sees beyond the black and white. It’s her colorful, creative edge and business acumen that ensure clients have the solutions they need to avoid trouble, grow stronger and be secure. With over 13 years’ experience in the legal profession, including serving on The Dolan Company’s executive team as its in-house counsel, Katie brings a practical focus and energy to her work with clients. Clients rely on Katie to provide the most practical advice in helping them achieve their ultimate goals. Because she has had to manage businesses herself, she can easily step into any situation and find solutions that take into account legal and business issues.

Katie’s corporate experience extends to representing companies in mergers, stock sales and asset acquisitions, private placement offerings and subscription agreements. She often represents investors, handling all aspects related to the private placement and investment of funds and purchase of securities. She also counsels clients on general business matters, including vendor and customer contract negotiations, operations and project financing, management concerns and competitor disputes, software license agreements, master services agreements, statements of work and other intellectual property and web-based services agreements.

Public companies rely on Katie’s experience to support them with board governance and counseling, SEC and exchange rule compliance, Rule 144 and other stock transfer restrictions, drafting and review of press releases, 8-Ks, 10-Qs, 10-K-s and other periodic reporting.

Representative Experience

General Counsel

  • Lead counsel for software as a service public company in Human Resources management and payroll industry.

  • Lead counsel for plastic mold injection contract manufacturer, serving both industrial and medical customers.

  • Lead counsel for affiliated group, with investment holdings and business operations in a number of industries veterinary medicine, animal health and nutrition, animal vaccines, salt water disposal wells, and oil interests.

  • Served on the executive team and acted as general counsel for The Dolan Company, a $151 million revenue public company.

  • Outside general counsel for a number of other businesses in manufacturing, health care, and food industries.

Mergers and Acquisitions

  • Represented Minnesota grocery business in the acquisition of over 10 stores in Minnesota, Wisconsin and North Dakota.

  • Represented public company in human resource management and payroll software as a service industry in the acquisition of three businesses, including one with an enterprise value of $55 million.

  • Represented Dolan Company in the acquisition of more than 15 new businesses across the United States, including two acquisitions that significantly expanded an existing business line.

  • Represented investor in acquisition of manufacturing business in northern Minnesota.

  • Represented seller in acquisition of employee benefit plan consulting business by a public company.

  • Represented Fairview Red Wing Health in affiliation with leading Southern Minnesota Medical System.

  • Represented numerous other businesses as buyer and seller counsel in acquisitions, succession planning and other growth strategies.

Corporate Securities

  • Represented software as a service provider in human resources management and payroll industry, in the preparation of 8ks, Forms 3 and 4, annual and quarterly reports, and other securities related issues

  • As in-house General Counsel for The Dolan Company, managed, oversaw and drafted all 8-Ks, 10-Qs, proxy statements, annual reports, Forms 3 and 4, compensation disclosures and analysis, shelf registration statements and a public offering. Managed the company’s SOX compliance program for more than a year and served as company’s insider trading officer and oversaw all sales and purchase of company stock by insiders. Developed a compliance program to ensure accurate reporting of financial information in the company’s SEC reports, including the establishment of a disclosure committee and disclosure process.

  • Represented public company providing medical devices for bladder control.

  • Represented public company providing data center services and related solutions.

Employment Law

  • Successfully defended, on behalf of a number of employers, over 40 agency charges from employees alleging wrongful termination, harassment or other forms of discrimination.
